Terms and Conditions of All-Matrix B.V.

Article 1 – Definitions

The terms used in these conditions have the meanings prescribed by law.
In addition, the following definitions apply:

• Digital Content: data produced and supplied in digital form.

• Business Customer: any purchaser acting in the course of a trade, profession, or business.

Article 3 – Scope of Application

These terms and conditions apply to all offers, orders, and distance contracts concluded between All-Matrix B.V. and consumers.
For Business Customers (B2B), the additional provisions set out in Article 17 apply.

Article 4 – The Offer

The offer contains a complete and accurate description of the products and/or services offered.
Obvious errors or omissions in the offer shall not bind the trader.

Article 5 – Formation of the Contract

A contract is formed once the consumer accepts the offer.
The trader reserves the right to refuse an order if there are reasonable grounds to doubt the consumer’s ability to fulfil the obligations.
Retention of Title: all products delivered remain the property of the trader until the purchase price has been paid in full.

Article 6 – Right of Withdrawal

The consumer has the right to withdraw from the contract within 14 days after receiving the product, without providing any reason.
The consumer shall be liable for any depreciation in value resulting from use beyond what is necessary to establish the nature, characteristics, and functioning of the product.

Article 7 – Costs in the Event of Withdrawal

The consumer shall bear the cost of returning the product.
Any payments already made shall be refunded within 14 days, provided the returned products have been received by the trader.

Article 8 – Exclusions from the Right of Withdrawal

The right of withdrawal does not apply to:

• digital content supplied with the consumer’s prior express consent;

• customised or specially ordered products;

• hygiene-sensitive products where the seal has been broken.

Article 9 – Price

All prices are exclusive of VAT.
Incorrect price quotations shall not bind the trader.

Article 10 – Conformity and Warranty

The trader guarantees statutory conformity.
Warranty is limited to the manufacturer’s warranty.
The trader shall not be liable for defects resulting from improper use, modifications, or external causes.

Article 11 – Delivery and Performance

Delivery is subject to availability.
The risk of loss or damage passes to the consumer at the moment of delivery.
In the event of delayed delivery, the consumer shall not be entitled to compensation, but only to termination of the contract.

Article 12 – Duration Contracts: Termination and Renewal

Consumers may terminate contracts of indefinite duration at any time, subject to one month’s notice.
Tacit renewal is permitted only in accordance with statutory requirements.

Article 13 – Payment

Payment is due within 14 days after delivery, unless otherwise agreed.
In the event of late payment, statutory interest and collection costs may be charged.

Article 14 – Liability

The trader shall be liable only for direct damage caused by intent or gross negligence.
Liability for indirect or consequential loss, including loss of profit, is excluded.
Total liability is limited to the invoice amount of the relevant order.

Article 15 – Complaints Procedure

The trader operates an internal complaints procedure.
Complaints must be reported within two months of discovery.
WebwinkelKeur and the European ODR Platform may act as mediators in the event of disputes.

Article 16 – Applicable Law and Jurisdiction

All agreements are governed by Dutch law.
Disputes shall be submitted to the competent court in the district where the trader is established, unless mandatory law provides otherwise.

Article 17 – Additional Provisions for Business Customers (B2B)

• Business Customers have no right of withdrawal.

• Delivery times are indicative only and shall not entitle the customer to compensation.

• Liability is limited to the invoice amount excluding VAT.

• All intellectual property rights shall remain vested in the trader.
