data-end=\"940\">Article 3 \u2013 Scope of Application<\/strong><\/h3>\n<p data-start=\"943\" data-end=\"1157\">These terms and conditions apply to all offers, orders, and distance contracts concluded between All-Matrix B.V. and consumers.<br data-start=\"1070\" data-end=\"1073\"\/>For Business Customers (B2B), the additional provisions set out in Article 17 apply.<\/p>\n<hr data-start=\"1159\" data-end=\"1162\"\/>\n<h3 data-start=\"1164\" data-end=\"1195\"><strong data-start=\"1168\" data-end=\"1193\">Article 4 \u2013 The Offer<\/strong><\/h3>\n<p data-start=\"1196\" data-end=\"1361\">The offer contains a complete and accurate description of the products and\/or services offered.<br data-start=\"1291\" data-end=\"1294\"\/>Obvious errors or omissions in the offer shall not bind the trader.<\/p>\n<hr data-start=\"1363\" data-end=\"1366\"\/>\n<h3 data-start=\"1368\" data-end=\"1415\"><strong data-start=\"1372\" data-end=\"1413\">Article 5 \u2013 Formation of the Contract<\/strong><\/h3>\n<p data-start=\"1416\" data-end=\"1746\">A contract is formed once the consumer accepts the offer.<br data-start=\"1473\" data-end=\"1476\"\/>The trader reserves the right to refuse an order if there are reasonable grounds to doubt the consumer\u2019s ability to fulfil the obligations.<br data-start=\"1615\" data-end=\"1618\"\/><strong data-start=\"1618\" data-end=\"1641\">Retention of Title:<\/strong> all products delivered remain the property of the trader until the purchase price has been paid in full.<\/p>\n<hr data-start=\"1748\" data-end=\"1751\"\/>\n<h3 data-start=\"1753\" data-end=\"1794\"><strong data-start=\"1757\" data-end=\"1792\">Article 6 \u2013 Right of Withdrawal<\/strong><\/h3>\n<p data-start=\"1795\" data-end=\"2104\">The consumer has the right to withdraw from the contract within 14 days after receiving the product, without providing any reason.<br data-start=\"1925\" data-end=\"1928\"\/>The consumer shall be liable for any depreciation in value resulting from use beyond what is necessary to establish the nature, characteristics, and functioning of the product.<\/p>\n<hr data-start=\"2106\" data-end=\"2109\"\/>\n<h3 data-start=\"2111\" data-end=\"2165\"><strong data-start=\"2115\" data-end=\"2163\">Article 7 \u2013 Costs in the Event of Withdrawal<\/strong><\/h3>\n<p data-start=\"2166\" data-end=\"2351\">The consumer shall bear the cost of returning the product.<br data-start=\"2224\" data-end=\"2227\"\/>Any payments already made shall be refunded within 14 days, provided the returned products have been received by the trader.<\/p>\n<hr data-start=\"2353\" data-end=\"2356\"\/>\n<h3 data-start=\"2358\" data-end=\"2419\"><strong data-start=\"2362\" data-end=\"2417\">Article 8 \u2013 Exclusions from the Right of Withdrawal<\/strong><\/h3>\n<p data-start=\"2420\" data-end=\"2464\">The right of withdrawal does not apply to:<\/p>\n<ul data-start=\"2465\" data-end=\"2643\">\n<li data-start=\"2465\" data-end=\"2536\">\n<p data-start=\"2467\" data-end=\"2536\">digital content supplied with the consumer\u2019s prior express consent;<\/p>\n<\/li>\n<li data-start=\"2537\" data-end=\"2582\">\n<p data-start=\"2539\" data-end=\"2582\">customised or specially ordered products;<\/p>\n<\/li>\n<li data-start=\"2583\" data-end=\"2643\">\n<p data-start=\"2585\" data-end=\"2643\">hygiene-sensitive products where the seal has been broken.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"2645\" data-end=\"2648\"\/>\n<h3 data-start=\"2650\" data-end=\"2677\"><strong data-start=\"2654\" data-end=\"2675\">Article 9 \u2013 Price<\/strong><\/h3>\n<p data-start=\"2678\" data-end=\"2766\">All prices are exclusive of VAT.<br data-start=\"2710\" data-end=\"2713\"\/>Incorrect price quotations shall not bind the trader.<\/p>\n<hr data-start=\"2768\" data-end=\"2771\"\/>\n<h3 data-start=\"2773\" data-end=\"2819\"><strong data-start=\"2777\" data-end=\"2817\">Article 10 \u2013 Conformity and Warranty<\/strong><\/h3>\n<p data-start=\"2820\" data-end=\"3026\">The trader guarantees statutory conformity.<br data-start=\"2863\" data-end=\"2866\"\/>Warranty is limited to the manufacturer\u2019s warranty.<br data-start=\"2917\" data-end=\"2920\"\/>The trader shall not be liable for defects resulting from improper use, modifications, or external causes.<\/p>\n<hr data-start=\"3028\" data-end=\"3031\"\/>\n<h3 data-start=\"3033\" data-end=\"3080\"><strong data-start=\"3037\" data-end=\"3078\">Article 11 \u2013 Delivery and Performance<\/strong><\/h3>\n<p data-start=\"3081\" data-end=\"3325\">Delivery is subject to availability.<br data-start=\"3117\" data-end=\"3120\"\/>The risk of loss or damage passes to the consumer at the moment of delivery.<br data-start=\"3196\" data-end=\"3199\"\/>In the event of delayed delivery, the consumer shall not be entitled to compensation, but only to termination of the contract.<\/p>\n<hr data-start=\"3327\" data-end=\"3330\"\/>\n<h3 data-start=\"3332\" data-end=\"3398\"><strong data-start=\"3336\" data-end=\"3396\">Article 12 \u2013 Duration Contracts: Termination and Renewal<\/strong><\/h3>\n<p data-start=\"3399\" data-end=\"3576\">Consumers may terminate contracts of indefinite duration at any time, subject to one month\u2019s notice.<br data-start=\"3499\" data-end=\"3502\"\/>Tacit renewal is permitted only in accordance with statutory requirements.<\/p>\n<hr data-start=\"3578\" data-end=\"3581\"\/>\n<h3 data-start=\"3583\" data-end=\"3613\"><strong data-start=\"3587\" data-end=\"3611\">Article 13 \u2013 Payment<\/strong><\/h3>\n<p data-start=\"3614\" data-end=\"3772\">Payment is due within 14 days after delivery, unless otherwise agreed.<br data-start=\"3684\" data-end=\"3687\"\/>In the event of late payment, statutory interest and collection costs may be charged.<\/p>\n<hr data-start=\"3774\" data-end=\"3777\"\/>\n<h3 data-start=\"3779\" data-end=\"3811\"><strong data-start=\"3783\" data-end=\"3809\">Article 14 \u2013 Liability<\/strong><\/h3>\n<p data-start=\"3812\" data-end=\"4060\">The trader shall be liable only for direct damage caused by intent or gross negligence.<br data-start=\"3899\" data-end=\"3902\"\/>Liability for indirect or consequential loss, including loss of profit, is excluded.<br data-start=\"3986\" data-end=\"3989\"\/>Total liability is limited to the invoice amount of the relevant order.<\/p>\n<hr data-start=\"4062\" data-end=\"4065\"\/>\n<h3 data-start=\"4067\" data-end=\"4110\"><strong data-start=\"4071\" data-end=\"4108\">Article 15 \u2013 Complaints Procedure<\/strong><\/h3>\n<p data-start=\"4111\" data-end=\"4319\">The trader operates an internal complaints procedure.<br data-start=\"4164\" data-end=\"4167\"\/>Complaints must be reported within two months of discovery.<br data-start=\"4226\" data-end=\"4229\"\/>WebwinkelKeur and the European ODR Platform may act as mediators in the event of disputes.<\/p>\n<hr data-start=\"4321\" data-end=\"4324\"\/>\n<h3 data-start=\"4326\" data-end=\"4380\"><strong data-start=\"4330\" data-end=\"4378\">Article 16 \u2013 Applicable Law and Jurisdiction<\/strong><\/h3>\n<p data-start=\"4381\" data-end=\"4565\">All agreements are governed by Dutch law.<br data-start=\"4422\" data-end=\"4425\"\/>Disputes shall be submitted to the competent court in the district where the trader is established, unless mandatory law provides otherwise.<\/p>\n<hr data-start=\"4567\" data-end=\"4570\"\/>\n<h3 data-start=\"4572\" data-end=\"4645\"><strong data-start=\"4576\" data-end=\"4643\">Article 17 \u2013 Additional Provisions for Business Customers (B2B)<\/strong><\/h3>\n<ul data-start=\"4646\" data-end=\"4920\">\n<li data-start=\"4646\" data-end=\"4697\">\n<p data-start=\"4648\" data-end=\"4697\">Business Customers have no right of withdrawal.<\/p>\n<\/li>\n<li data-start=\"4698\" data-end=\"4788\">\n<p data-start=\"4700\" data-end=\"4788\">Delivery times are indicative only and shall not entitle the customer to compensation.<\/p>\n<\/li>\n<li data-start=\"4789\" data-end=\"4850\">\n<p data-start=\"4791\" data-end=\"4850\">Liability is limited to the invoice amount excluding VAT.<\/p>\n<\/li>\n<li data-start=\"4851\" data-end=\"4920\">\n<p data-start=\"4853\" data-end=\"4920\">All intellectual property rights shall remain vested in the trader.<\/p>\n<\/li>\n<\/ul>\n<\/div><\/div><\/div><\/div><\/div><div class=\"fusion-fullwidth fullwidth-box fusion-builder-row-2 fusion-flex-container has-pattern-background has-mask-background nonhundred-percent-fullwidth non-hundred-percent-height-scrolling\" style=\"--awb-border-radius-top-left:0px;--awb-border-radius-top-right:0px;--awb-border-radius-bottom-right:0px;--awb-border-radius-bottom-left:0px;--awb-flex-wrap:wrap;\" ><div
